These Terms of Service ("Terms") govern your use of urizon.co.ke and of the services and applications provided by URIZON SOFTWARE, of Leisure, Kisauni District, Nyali, P.O. Box 80100 - 80100, Mombasa, Kenya ("Urizon Software", "we", "us" or "our"). By using our website or services, you agree to these Terms.

1. Our Services

We provide software engineering services including custom software development, mobile application development, API design and system integration, and system architecture and DevOps. The scope, deliverables, timelines and fees for each engagement are set out in a written proposal, quotation or service agreement ("Agreement"). Where an Agreement conflicts with these Terms, the Agreement prevails.

2. Use of the Website

You agree to use this website lawfully and not to attempt to gain unauthorised access to it, disrupt its operation, or submit false or malicious information through its forms. Website content is provided for general information and does not constitute a binding offer.

3. Quotations and Payment

Quotations are valid for the period stated on them. Unless otherwise agreed in writing, invoices are payable within the period stated on the invoice. We may pause work on an engagement where payments are overdue.

4. Client Responsibilities

Clients are responsible for providing accurate requirements, timely feedback, and any access, content or third-party credentials (such as payment gateway or government platform accounts) needed to deliver the work, and for ensuring they have the rights to any materials they supply.

5. Intellectual Property

Unless an Agreement states otherwise, ownership of custom deliverables passes to the client upon full payment. We retain ownership of our pre-existing tools, libraries and know-how, and grant the client a non-exclusive licence to use them as part of the delivered solution. All content on this website, including text, graphics and logos, belongs to URIZON SOFTWARE or its licensors.

6. Confidentiality

Each party will keep the other's confidential information private and use it only for the purposes of the engagement, except where disclosure is required by law.

7. Warranties and Limitation of Liability

We perform our services with reasonable skill and care. Except as expressly stated in an Agreement, our website and services are provided "as is". To the maximum extent permitted by law, we are not liable for indirect or consequential losses, and our total liability under any engagement is limited to the fees paid for that engagement.

8. Third-Party Services

Our solutions may integrate with third-party platforms such as payment providers, eCitizen or KRA systems. We are not responsible for the availability, changes or policies of those third-party services.

9. Privacy

Our handling of personal data is described in our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the Republic of Kenya, and any disputes will be subject to the jurisdiction of the courts of Kenya.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the website after changes are published constitutes acceptance of the updated Terms.
